Please read these Terms of Service ("Terms") carefully before using the LeadRya platform operated by LeadRya ("we," "us," or "our"). By accessing or using our service, you agree to be bound by these Terms.
1. Acceptance of Terms
By creating an account or using LeadRya in any way, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the service.
2. Description of Service
LeadRya is a lead distribution platform that enables operators to receive leads from suppliers, route them to buyers, and track performance. The platform includes campaign management, routing logic, reporting, supplier and buyer portals, and related tools available at app.leadrya.com.
3. Account Registration
You must create an account to use LeadRya. You agree to:
- Provide accurate, current, and complete registration information
- Keep your password secure and confidential
- Notify us immediately of any unauthorized access to your account
- Be responsible for all activity that occurs under your account
4. Acceptable Use
You agree not to use LeadRya to:
- Submit, distribute, or route leads obtained without proper consent from the individuals involved
- Violate any applicable law, regulation, or third-party right
- Transmit spam, malware, or any harmful content
- Attempt to gain unauthorized access to any part of the platform or its infrastructure
- Reverse engineer, decompile, or create derivative works of the platform
- Use the platform to process leads for illegal industries or activities
5. Lead Data and Compliance
You are solely responsible for ensuring that all lead data processed through your LeadRya account was collected lawfully and with appropriate consumer consent. This includes compliance with applicable laws such as the TCPA, CAN-SPAM Act, CCPA, GDPR, and any other relevant regulations. LeadRya acts as a data processor on your behalf and is not responsible for the legality of your lead generation practices.
6. Fees and Payment
Certain features of LeadRya may require a paid subscription. By subscribing, you agree to pay all applicable fees. Fees are non-refundable except as required by law. We reserve the right to change pricing with reasonable notice.
7. Intellectual Property
The LeadRya platform, including its design, software, and content, is owned by LeadRya and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our prior written consent. You retain ownership of all lead data you submit through the platform.
8. Uptime and Availability
We strive to provide a reliable platform but do not guarantee uninterrupted availability. We may perform maintenance, updates, or experience outages outside of our control. We are not liable for any losses resulting from platform downtime.
9. Termination
We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our discretion with reasonable notice. You may cancel your account at any time by contacting us at info@leadrya.com. Upon termination, your right to use the platform ceases immediately.
10. Disclaimer of Warranties
The LeadRya platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law, LeadRya shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the platform. Our total liability to you for any claim shall not exceed the amount you paid us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless LeadRya and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your lead data, or your violation of these Terms.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the United States. Any disputes shall be resolved through binding arbitration or in the applicable courts, as determined by applicable law.
14. Changes to Terms
We may update these Terms at any time. We will notify you of material changes by posting the updated Terms with a new date and, where appropriate, by email. Continued use of the platform after changes constitutes your acceptance of the revised Terms.
